Terms of Service

1. Introduction

These Terms and Conditions (“Agreement”) govern the delivery of software development services (“Services”) by TwinBros Solutions LLC (“Company”, “we”, “us”, or “our”) to the client (“Client”, “you” or “your”). By engaging our Services, you acknowledge and accept these terms.

2. Services

We will provide software development and related services as defined in a written scope of work (SOW), proposal, or agreement. We reserve the right to decide the methodology, tools, and technologies used to complete the work.

3. Scope of Work and Changes

• All deliverables and timelines are outlined in the agreed SOW.
• Any request for changes or additions must be submitted in writing and may result in additional charges and revised deadlines.
• We reserve the right to accept or reject change requests at our discretion.

4. Fees and Payments

• Fees are due as per the payment milestones outlined in the agreement or invoice.
• Unless otherwise agreed, payments are to be made as follows: 50% upfront, 30% at midpoint, 20% before final delivery.
• Late payments will attract a [2%-5%] monthly interest.
• All payments are final and non-refundable.

5. Project Timelines

Project timelines are estimates and not binding. Delays may occur due to scope changes, third-party dependencies, or client-side delays. We are not liable for any business losses due to project delays.

6. Client Responsibilities

• Provide all necessary materials, feedback, and access in a timely manner.
• Respond to communications within a reasonable period (usually 3 working days).
• Accept that delays in feedback or resources may impact project delivery and cost.

7. Intellectual Property

• All intellectual property rights to the final deliverables are transferred to the Client only after full payment is received.
• The Company retains rights to use non-confidential portions of the project for portfolio and marketing purposes.
• We retain rights to reusable components, code libraries, templates, or frameworks created before or during the project.

8. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information. Confidential obligations remain in effect for 2 years after project completion.

9. Warranties and Liability

• Services are provided "as is" without warranty of any kind.
• The Company is not liable for any indirect, incidental, or consequential damages.
• Liability for any claim will not exceed the total amount paid by the Client for the Services.

10. Support and Maintenance

Post-delivery support is not included unless otherwise stated in the agreement. Any bug fixes, enhancements, or support will be billed separately.

11. Termination

• Either party may terminate the project with 14 days’ written notice.
• If terminated, the Client agrees to pay for all completed work and authorized expenses up to the date of termination.
• Any deposits made are non-refundable.

12. Governing Law

This Agreement shall be governed by the laws of Wisconsin, USA. All disputes shall be subject to the exclusive jurisdiction of the courts of Milwaukee, WI.

13. Non-Solicitation

This Agreement shall be governed by and construed in accordance with the laws of the State of Wisconsin, USA, without regard to its conflict of law principles. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in Milwaukee County, Wisconsin.

14. Force Majeure

We are not liable for delays or failures caused by events beyond our control, including but not limited to acts of God, internet outages, war, pandemic, or labor disputes.

15. Entire Agreement

This document and any signed SOW constitute the entire agreement. No oral promises or agreements shall be binding unless written and signed by both parties.

16. Changes to Terms

We reserve the right to modify or update these Terms and Conditions at any time without prior notice. Any changes will be effective immediately upon posting on our platform. Your continued use of our services after such modifications constitutes your acceptance of the updated Terms.
