Terms of Service

1. Introduction

These Terms and Conditions (“Agreement”) govern the delivery of software development, digital marketing, and related subscription-based services (“Services”) by TwinBros Solutions LLC (“Company”, “we”, “us”, or “our”) to the client (“Client”, “you” or “your”). By engaging our Services, you acknowledge and accept these terms.

2. Services

We provide software development, digital marketing, web design, and subscription-based services as outlined in a written scope of work (SOW), proposal, or service plan. The Company reserves the right to determine the methodology, tools, and technologies used to complete the work.

3. Scope of Work and Changes

• All deliverables and timelines are outlined in the agreed SOW or service plan.
• Requests for changes or additions must be submitted in writing and may result in revised pricing and timelines.
• We reserve the right to approve or decline any change requests.

4. Fees and Payments

• Fees are due as per the payment schedule outlined in your invoice or subscription plan.
• Project-based work follows a 50% upfront, 30% midpoint, and 20% pre-delivery payment structure unless otherwise agreed.
• Subscription plans are billed monthly and renew automatically each month unless canceled.
• Late payments are subject to a 2%-5% monthly interest charge.
• All payments are final and non-refundable unless otherwise stated in writing.

5. Project Timelines

Project timelines are estimates and not binding. Delays may result from scope changes, third-party dependencies, or client-side delays. We are not liable for any business losses caused by delays.

6. Client Responsibilities

• Provide required content, feedback, and access in a timely manner.
• Respond to communication within 3 business days to avoid delays.
• Understand that any delays in feedback or deliverables may affect timelines and costs.

7. Intellectual Property

• Ownership of final deliverables transfers to the Client upon full payment.
• We retain rights to non-confidential work for portfolio or marketing use.
• Reusable code libraries, frameworks, or templates remain the property of TwinBros Solutions LLC.

8. Confidentiality

Both parties agree to keep proprietary information confidential for two years after the project’s completion.

9. Warranties and Liability

• Services are provided "as is" without warranties of any kind.
• We are not responsible for indirect, incidental, or consequential damages.
• Our liability will not exceed the total amount paid by the Client.

10. Support and Maintenance

Ongoing support and maintenance are not included unless specified. Additional work is billed separately.

11. Termination

• Either party may terminate with 14 days’ written notice.
• Client must pay for work completed and authorized expenses up to termination date.
• Deposits and prior payments are non-refundable.

12. Governing Law

This Agreement is governed by the laws of Wisconsin, USA. Disputes are subject to the jurisdiction of Milwaukee County courts.

13. Non-Solicitation

During the project and for 12 months after, the Client agrees not to directly hire or solicit any TwinBros Solutions LLC personnel involved in the project.

14. Force Majeure

We are not liable for delays due to unforeseen circumstances beyond our control including war, natural disasters, pandemics, or service interruptions.

15. Entire Agreement

This document and any signed SOW constitute the full agreement. Any changes must be made in writing and signed by both parties.

16. Changes to Terms

We may update these Terms at any time. Updates will be posted on our website and are effective immediately. Continued use of our services implies acceptance of the changes.
